AB “Ignitis grupė”, which exercises the rights and obligations of the shareholder, hereby announces a selection process for the position of Shareholder Representative on the Board of UAB Vilniaus kogeneracinė jėgainė, legal entity code: 303782367, registered office address: Laisvės pr. 10, Vilnius (hereinafter – the Company), in the area of finance management, for the term of office until the end of the current term of the Board, i.e. until 19 October 2027. 

The Company’s Board comprises 3 (three) members: 1 (one) independent member and 2 (two) representatives delegated by the shareholder(s) of Vilnius CHP. 

During the term of the agreement on the activities of a member of the Board, a member of the Board shall be covered by civil liability insurance for bodies of legal entities. In accordance with the Remuneration Policy of AB “Ignitis grupė” group of companies, no remuneration is paid to shareholder representatives for their activities on the Company’s Board. Selection method – the selection shall be conducted in accordance with the Guidelines on Procedures for Selecting Civil Servants and Other Nominees who are Proposed for Voting in the Election of Collegial Body of a Company controlled by  AB “Ignitis grupė”, as approved by the Management Board of AB “Ignitis grupė” (hereinafter – the Selection Guidelines), and paragraph 4 of the Procedure for the Selection of Candidates for a Collegial Supervisory or Management Body of a State or Municipal Enterprise, State-Owned or Municipally-Owned Company or its Subsidiary, as approved by Resolution No. 631 of the Government of the Republic of Lithuania of 17 June 2015 (hereinafter – the Description). Qualifications

Candidates must meet the general and special requirements as well as other criteria set out in the Law on the Management, Use and Disposal of State and Municipal Assets of the Republic of Lithuania, the Law on Companies of the Republic of Lithuania, and the Articles of Association of the Company, where applicable to candidates for the position of a member of the Company’s Board. 

Requirements for Candidates 

General requirements 

  • The candidate must have a higher (university) or equivalent education. 
  • The candidate must be free from any relationships with other natural or legal persons that would give rise to a conflict of interest in the performance of his/her duties as a member of a collegial body. 
  • The candidate must not be disqualified or restricted from holding the position he/she is applying for or from performing the functions assigned to that position. 
  • The candidate must not have been removed from a single-member or a collegial body of a legal person within the last 5 years due to improper performance of duties. 
  • The candidate must have an impeccable reputation. A person shall not be considered to be of impeccable reputation if he/she has been convicted, in accordance with the procedure laid down by law, of a serious or very serious criminal offence, a criminal offence against property, property rights and property interests, the economy and business order, the financial system, the civil service and public interests, justice, public security or government order and his/her criminal record is unspent or has not been expunged. 
  • The candidate may not be a career civil servant in a ministry, a government agency or a body attached to a ministry who is entrusted with the functions of forming public policies in the sector of the company for whose collegial body he/she is applying. 
  • The candidate may not be elected or appointed as a politician in accordance with the procedure laid down by law and may not be a civil servant of a political (personal) trust. 
  • If the candidate is a civil servant, he/she may not be a member of more than 2 collegial bodies in total in state-owned and municipally-owned companies. 

Special requirements 

  • The candidate must be an employee of AB “Ignitis grupė” group of companies or an employee/delegated representative of Quaero Capital SA. 
  • At least 5 years of managerial experience within a company or a group of companies (e.g. as a company CEO, or as a senior executive directly reporting to the CEO).  
  • Experience in financial management (e.g., financial management of large companies, including cash flow management and budget control; evaluation and financing of investment projects; consulting; financial services; audit; international accounting and/or preparation of financial statements, etc.).  
  • Work experience in the evaluation and financing of investment projects.  
  • Experience in shaping, planning, implementing, and overseeing approved shareholder strategies and strategic plans, including their delegation to group companies or complex organisational structures, and ongoing execution monitoring. 
  • Excellent English language skills, both written and spoken.  

Advantages 

  • Knowledge and skills in corporate governance (relevant education and/or experience).  
  • Experience serving as a member of a collegial body. 
  • Experience in infrastructure companies/projects.  

Independence requirements 

  • The candidate must not be a close relative (a spouse, cohabiting partner, partner, where partnership is registered in accordance with the procedure established by law, as well as their father (adoptive father), mother (adoptive mother), child (adopted child), brother (adoptive brother), sister (adoptive sister), grandfather (grandmother), grandchild, including their spouses, cohabiting partners or partners) of the CEO or a member of a collegial body of the company for whose collegial body he/she is applying, its subsidiary or parent company or a shareholder of a related legal person that owns shares carrying more than 1/5 of the votes at a General Meeting of Shareholders. 
  • The candidate must not have been, within the last 2 years, a partner, participant, CEO, member of a collegial body or employee of an audit firm which carries out or has carried out an audit of the company for whose collegial body he/she is applying, its subsidiary or parent company, or a related legal person.

By submitting the documents, candidates confirm that they meet the general and special selection requirements as well as other criteria set out in applicable legal acts and the Articles of Association and that they are familiar with the legal obligations arising in the event of being selected and appointed as a member of the collegial body and that, if elected to the collegial body, they undertake to devote sufficient time and attention to the performance of the duties of a member, including participation  in the scheduled meetings of the collegial body and related activities.
